These terms and conditions govern every quotation, order, delivery, installation, rental and service provided by Mirkoz Vending BV. By placing an order or entering into an agreement, you accept these terms.

Mirkoz Vending BV (hereinafter "Mirkoz Vending", "we" or "us") is a Belgian company registered under company number BE 1040.465.649. We supply, install, rent out and maintain vending machines and Smart Fridges, and sell associated parts and payment systems.

These terms apply to all our quotations, order confirmations, deliveries and agreements, to the exclusion of the customer's own terms, unless we have expressly accepted those in writing.
Departures from these terms are valid only where agreed in writing, and only for the agreement for which they were granted. If any provision proves void or unenforceable, the remaining provisions continue to apply in full and the void provision is replaced by a valid provision that comes as close as possible to the original intention.
Our quotations are without obligation and remain valid for 30 calendar days from the quotation date, unless stated otherwise. A quotation covers only what is expressly described in it.
The agreement is formed when we confirm the order in writing (including by email) or begin performance. Obvious errors or clerical mistakes in quotations, price lists or on the website do not bind us.
Photographs, dimensions, capacities and technical specifications in our communications are as accurate as possible but purely indicative, unless expressly designated as binding.
All prices are expressed in euros and exclude VAT, unless stated otherwise. For consumers, prices are always communicated inclusive of VAT.
Unless otherwise agreed, our invoices are payable within 14 calendar days of the invoice date. When a machine is ordered, a deposit of up to 40% may be requested; the balance is due on delivery.
In the event of late payment by a business, default interest is due automatically and without notice of default in accordance with the Belgian Act of 2 August 2002 on combating late payment, plus fixed damages of 10% of the invoice amount with a minimum of 125 euros. For consumers, after a first free reminder, the interest and charges laid down in Book XIX of the Belgian Code of Economic Law apply.
Delivery and installation lead times are communicated in good faith and are indicative. A delay confers no right to damages or termination, unless the delay becomes unreasonably long and we still fail to deliver after a written notice of default granting a reasonable additional period.
The customer ensures that the location is ready for installation: easy access, a level and load-bearing floor, an earthed power socket and — for connected machines and payment terminals — network coverage or a network connection. Additional costs arising from a non-compliant location (a wasted journey, extra labour hours, a lifting service) may be charged on.
On delivery, the customer inspects the machine for visible damage. Visible defects must be reported to us in writing within 48 hours of delivery; after that, the delivery is deemed accepted as far as visible defects are concerned.
Machines and parts sold remain our property until the price has been paid in full, including any costs and interest. As long as title has not passed, the customer may not sell, pledge or make the machine available to third parties.
The risk of loss or damage passes to the customer on delivery. For consumers, the risk passes at the moment the consumer, or a third party designated by them, physically takes possession of the machine.
A consumer who buys at a distance (for example by email or telephone, without the simultaneous physical presence of both parties) has the right to withdraw from the purchase within 14 calendar days of delivery, without giving any reason.
To exercise the right of withdrawal, email us within that period at info@mirkozvending.com. The machine must be returned unused, undamaged and in its original condition. The direct cost of returning it is borne by the consumer; given the weight and volume of vending machines, that cost can be considerable — on request we will provide an estimate in advance.
The right of withdrawal does not apply to goods configured to the consumer's specifications or clearly intended for a specific person, nor to businesses.
Consumers benefit from the statutory two-year guarantee for lack of conformity, as laid down in the Belgian Civil Code. For refurbished machines, that period may be contractually limited to one year where this is expressly agreed.
On top of the statutory guarantee, we offer our own commercial warranty, the content, duration and exclusions of which are set out in our Warranty Terms, which form an integral part of these terms and conditions. Please consult that page for the full arrangements, including the procedure for reporting a defect.
Where a machine is rented, it remains the property of Mirkoz Vending at all times. The hirer uses the machine with due care, in accordance with our guidelines, and may not move it, sublet it or make it available to third parties without our written consent.
The rental period, the rent, the deposit and the notice arrangements are set out in the rental agreement. During the rental, maintenance and repairs due to normal wear and tear are at our expense; damage caused by misuse, vandalism or external causes is charged to the hirer.
At the end of the rental, the machine is returned or collected in the same condition, normal wear and tear excepted.
Our liability is limited to direct loss resulting from a shortcoming attributable to us, and is capped per claim at the amount the customer paid for the machine or service concerned.
We are not liable for indirect loss such as loss of turnover or profit, loss of products in the machine, reputational damage or loss caused by interruption of operations, except in the event of wilful misconduct or gross negligence, or where mandatory law provides otherwise. Nothing in these terms limits our liability for loss caused by our wilful misconduct or fraud, or for death or personal injury attributable to our fault.
The customer remains responsible for operating the machine: the choice and freshness of the product range, compliance with food safety rules when restocking, and any permits applicable at the location.
In the event of force majeure — any event beyond our reasonable control, such as strikes, pandemics, shortages of energy or raw materials, transport disruptions, or delays at our suppliers — our obligations are suspended for as long as the force majeure lasts.
If the force majeure situation lasts longer than 60 calendar days, either party may terminate the agreement in respect of the part not yet performed, without any compensation being due.
All trademarks, logos, photographs, texts, software and documentation of Mirkoz Vending remain the exclusive property of ourselves or of our licensors. The customer receives only the right of use necessary for the normal use of the machine.
Our materials may not be copied, distributed or modified without our prior written consent.
Every agreement with Mirkoz Vending is governed by Belgian law.
In the event of a dispute, we first try to resolve it together — contact us at info@mirkozvending.com. If that fails, the courts of the judicial district of our registered office have exclusive jurisdiction. For consumers, this jurisdiction clause applies without prejudice to the mandatory rules of the Belgian Judicial Code, and the court of their place of residence also remains available where the law so provides.
Consumers may also turn to the Consumer Mediation Service (consumentenombudsdienst.be) or the European online dispute resolution platform (ec.europa.eu/odr).
